Terms and Conditions
Welcome to AranOne. These Terms and Conditions (the "Agreement") constitute a legally binding agreement between Aranland Limited ("the Company", "we", "us", or "our") and the individual or entity accessing the platform ("User", "you", or "your").
BY CLICKING THE INVITATION LINK PROVIDED BY THE DEVELOPER, REGISTERING FOR, LOGGING INTO, OR USING THE ARANONE PLATFORM (THE "PLATFORM"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE IMMEDIATELY.
1. PLATFORM ROLE AND NATURE OF SERVICES
1.1 Technical Platform Provider: AranOne is a digital management platform developed and operated by Aranland Limited. The Platform acts solely as a technical infrastructure providing digital tools for:
Transaction Tracking: Monitoring real estate transaction milestones.
Handover Support: Facilitating digital inspection records and handover appointments.
Property Service Portal: Providing an entry point for post-handover maintenance and management services.
1.2 Non-Developer Declaration: Aranland Limited IS NOT a real estate developer, builder, contractor, or sales agent. We are not involved in the design, construction, engineering, pricing, or physical delivery of any real estate project.
1.3 Contractual Separation: Your rights and obligations regarding the purchase of property are governed exclusively by the Sale Agreement and other legal documents signed between you and the respective Real Estate Developer (the "Developer"). We are not a party to such agreements.
2. ACCESS AND ACCOUNT MANAGEMENT
2.1 Invitation-Based Access: Access to the Platform is strictly by invitation. Developers use our system to send you an exclusive invitation link. You gain access only after clicking this link and completing the necessary identity verification.
2.2 Account Security: You are responsible for maintaining the confidentiality of your access credentials. Any actions performed through your account (e.g., digitally signing a handover confirmation, booking a slot, or submitting a defect report) shall be deemed as your own actions or actions authorized by you.
3. USE OF PLATFORM FUNCTIONS
3.1 Information Accuracy: All transaction statuses, financial progress, and project data displayed on the Platform are provided and uploaded by the Developer. While we strive for system stability, we do not warrant the accuracy, completeness, or timeliness of such information.
3.2 Handover Process: Digital inspection records or handover appointments made via the Platform are for process optimization. Any physical defects or non-compliance with building standards remain the sole liability of the Developer under the Laws of Kenya.
3.3 Third-Party Services: Post-handover services may link to third-party providers. We do not guarantee the quality of services provided by such third parties.
4. INTELLECTUAL PROPERTY
4.1 Ownership: All content on the Platform, including but not limited to technical architecture, software code, UI design, trademarks, logos, and data models, is the exclusive property of Aranland Limited.
4.2 Limited License: We grant you a personal, non-transferable, and non-exclusive license to use the Platform for its intended purpose. You shall not reverse engineer, decompile, or attempt to extract the source code of the Platform.
5. USER CONDUCT
5.1 Compliance: You must comply with the Laws of the Republic of Kenya and your local jurisdiction while using the Platform.
5.2 Prohibited Acts: You shall not upload malicious code, interfere with the Platform’s operation, infringe upon the privacy of others, or provide fraudulent information. We reserve the right to terminate your access immediately for any violation.
6. DISCLAIMERS AND LIMITATION OF LIABILITY
6.1 "As Is" Basis: The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied.
6.2 Real Estate Disputes: Aranland Limited shall not be held liable for any disputes arising from the real estate project itself, including but not limited to construction defects, delays in delivery, title deed issues, or breaches of contract by the Developer.
6.3 Limitation of Liability: In no event shall our total liability for any technical failure or breach of these terms exceed the amount (if any) paid by you specifically for the use of the digital service in question.
7. PRIVACY AND DATA PROTECTION
7.1 Data Processing: We process personal data in accordance with the Kenya Data Protection Act, 2019. By using the Platform, you acknowledge that certain data will be shared with the Developer to facilitate your transaction and handover process. Please refer to our Privacy Policy for more details.
8. MODIFICATION AND TERMINATION
8.1 Amendments: We reserve the right to modify these terms at any time. Updated terms will be posted on the Platform. Your continued use of the Platform constitutes acceptance of the modified terms.
8.2 Termination: Your access may be terminated if the service agreement between the Developer and Aranland Limited expires or is terminated, or if you breach these terms.
9. GENERAL PROVISIONS
9.1 Force Majeure: We shall not be liable for any failure or delay due to natural disasters, acts of government, strikes, cyber-attacks, or telecommunication failures.
9.2 Governing Law: These terms shall be governed by and construed in accordance with the Laws of the Republic of Kenya.
9.3 Dispute Resolution: Any dispute arising out of or in connection with this Agreement shall first be settled through amicable negotiations. If negotiations fail, the dispute shall be referred to arbitration in Nairobi, Kenya, in accordance with the Rules of the Chartered Institute of Arbitrators (Kenya Branch).
9.4 Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
